General

The Terms and Conditions of Decision Shepherds LLC dba EnergyOnion (hereafter called the “Company”) are contained herein. Quotations are made and orders accepted from the “Client” subject to these Terms and Conditions.  No addition to or variation of these conditions will bind the Company unless it is agreed in writing and signed by the President of the Company.

These terms and conditions will form the basis of all contracts with the Company, unless otherwise specified in writing by the Company.

Confidentiality

No right, license, title or interest, either express or implied, under any patent, copyright, trade secret, trademark or other property right is granted hereunder.  Neither Company nor Client shall directly or indirectly acquire any interest in, or design, create, manufacture, sell or otherwise deal with any item or product, containing, based upon, or derived from Confidential Information and/or Trade Secrets, except where agreed to by both of the Parties in writing.

Prices

Unless otherwise indicated written quotations remain firm for 30 days. Although the Company reserves the right to vary its prices, and products and services, services will be supplied at the Company’s prices applicable at the time of order.

Cancellation or Postponement

The Company reserves the right to charge a cancellation fee pertaining to attendance in courses already confirmed. Notice of all cancellations or transfers must be in writing and the following terms apply with respect to cancellation date:

• 30 days or more prior to the training date – 80% refund
• 29-16 days prior the training date – 60% refund
• 15 days or less prior to the training date or failure to attend – no refund

Due to the varied locations, costs, and attendance in courses, substitutions will be considered on a case-by-case basis.

If for reasons beyond their control, the Company cancels or reschedules a course the Company will not be liable for any costs incurred by the client as a result of such cancellations.

Information Provided

Company may provide information regarding other entities or Web sites operated by other entities.  Client understands visiting these sites is Client’s risk and it is Client’s responsibility to protect against viruses or other destructive elements.  Company makes no warranty or representation regarding, and does not endorse, any linked Web sites or the information appearing thereon or any of the products or services described thereon.

In addition, although Company has made efforts to ensure the accuracy of the information it provides, Company can make no representations or warranties as to the accuracy or reliability of any information provided and accepts no liability for the use or misuse of the information.

Mediation

The parties agree that the laws governing this Agreement shall be under the Laws of the State of Arizona with venue being Pinal County, Arizona.   Any dispute arising between the parties under this agreement shall first be submitted to mediation, and if the parties cannot resolve the dispute, they agree to submit to binding arbitration, such arbitration to be held under the rules of arbitration of the American Arbitration Association.
